These Terms of Service (“Terms”) govern your access to and use of chonkie.ai and other websites, pages, content, and public materials provided by Chonkie, Inc. (“Chonkie,” “we,” “us,” or “our”). By using the website, you agree to these Terms.
Chonkie primarily provides business-to-business services for post-training, model development, evaluation, data engineering, deployment, and related work. Customer engagements should be governed by a separate written agreement, statement of work, order form, data processing addendum, or similar document. If a signed agreement conflicts with these Terms, the signed agreement controls. These Terms should be read together with our Privacy Policy.
Website Use
You may use the website for lawful business and informational purposes. You may not:
- interfere with, disrupt, or attempt to gain unauthorized access to the website or related systems;
- use the website to distribute malware, spam, or abusive content;
- scrape, crawl, or harvest the website in a way that burdens our systems or violates applicable law;
- misrepresent your affiliation with Chonkie;
- use Chonkie’s name, marks, logos, or content in a way that suggests endorsement without permission;
- violate any applicable law or third-party right.
We may update, suspend, or discontinue any part of the website at any time.
Public Content
The website may include writing, diagrams, benchmarks, documentation, examples, product descriptions, brand materials, open-source references, and other content. Unless we say otherwise, this content is provided for general informational purposes only.
You may link to public pages and quote short excerpts with attribution. You may not copy, modify, distribute, sell, or create derivative works from substantial portions of the website content without our permission.
Open Source
Some Chonkie projects are open source. Open-source software is governed by the license included with the applicable repository or package, not these Terms. If there is a conflict between these Terms and an open-source license for a specific project, the open-source license controls for that project.
Customer Engagements
If you hire Chonkie, the scope, fees, deliverables, data handling, confidentiality, ownership, warranties, support, termination, and other business terms should be set out in a separate written agreement.
Unless a written agreement says otherwise:
- you are responsible for ensuring you have the right to provide any data, code, logs, prompts, outputs, documents, or other materials to Chonkie;
- Chonkie may use materials you provide only as reasonably needed to evaluate, perform, secure, improve, and administer the engagement;
- Chonkie will not use your customer data to train shared or general-purpose models without your written agreement;
- Chonkie retains ownership of its pre-existing tools, software, templates, methods, libraries, know-how, and general expertise;
- customer-specific deliverables and other work product should be handled as agreed in writing.

Website content is not legal, financial, security, compliance, or other professional advice. You should not rely on it as a substitute for advice from qualified professionals.
Third-Party Services and Links
The website may link to third-party websites, repositories, documentation, tools, or services. We are not responsible for third-party content, policies, availability, or practices.
Customer work may involve third-party infrastructure, model providers, cloud services, observability tools, collaboration tools, or other vendors. Those uses should be handled in the applicable customer agreement.
Privacy
Our Privacy Policy explains how we collect, use, and share information. By using the website, you acknowledge the Privacy Policy.
Intellectual Property
Chonkie and its licensors retain all rights in the website, Chonkie marks, and Chonkie content, except for rights expressly granted in these Terms or in a separate written agreement.
You retain your rights in materials you provide to us. You grant Chonkie the rights needed to receive, review, process, and use those materials as necessary to respond to you, provide requested information, or perform an agreed engagement.
Disclaimer
The website and public content are provided “as is” and “as available.” To the fullest extent permitted by law, Chonkie disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not promise that the website will be uninterrupted, secure, error-free, or accurate at all times.
Limitation of Liability
To the fullest extent permitted by law, Chonkie will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill arising from or related to your use of the website or these Terms.
To the fullest extent permitted by law, Chonkie’s total liability for claims arising from or related to the website or these Terms will not exceed one hundred dollars ($100) or the amount you paid Chonkie for website access in the twelve months before the claim, whichever is greater.
Limitations for paid customer services should be handled in the applicable written customer agreement.
Indemnity
You agree to defend and indemnify Chonkie from claims, damages, liabilities, losses, and expenses, including reasonable attorneys’ fees, arising from your misuse of the website, violation of these Terms, violation of law, or infringement of third-party rights.
Anti-Bribery and Export Compliance
You agree not to promote, approach, use, distribute, transfer, provide, sublicense, share with, or otherwise offer our website, services, deliverables, or materials in violation of any laws or these Terms, including the United States Foreign Corrupt Practices Act, the U.K. Bribery Act, similar anti-corruption laws in other jurisdictions, export control laws, sanctions laws, and regulations administered by the U.S. Department of Commerce, the U.S. Department of Treasury Office of Foreign Assets Control, and other applicable authorities.
Without limiting the foregoing, you will not knowingly directly or indirectly export, re-export, transfer, make available, or release Chonkie materials, software, services, or deliverables to any destination, person, entity, or end use prohibited or restricted under applicable law without required authorization.
Modifications
We may update these Terms from time to time. We will post changes on this page. Please regularly review these Terms. If you continue to use our website after changes are posted, you are bound by the updated Terms to the extent permitted by law.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws rules. The state and federal courts located in San Francisco County, California will have exclusive jurisdiction over disputes arising from or related to these Terms or the website, except where applicable law requires otherwise.
